Resolving disputes strategically and defending your interests with determination.
Shareholder disputes, commercial litigation, crises and restructuring.
Request an initial legal assessmentDisputes are an inevitable part of business life. What matters is assessing them correctly at an early stage, managing them strategically, and reaching economically sound solutions. Not every dispute has to end in court — however, every dispute requires a clear position, a robust strategy, and a willingness to consistently enforce one’s rights. We represent companies, shareholders, managing directors, creditors, and private individuals; we handle litigation and arbitration proceedings; and we provide support during restructurings, reorganizations, and insolvency proceedings.
Typical situations in which we can assist
Shareholder disputes and disputes between corporate bodies
We represent clients in disputes involving shareholders, managing directors, executive and supervisory board members, and companies.
Litigation and enforcement of claims
We conduct judicial and extrajudicial disputes, represent clients in arbitration proceedings, and facilitate mediations — with a strategic focus on outcomes, admissibility of evidence, cost risk, and practical enforceability.
Crises, reorganization and restructuring
We advise companies, managing directors, and shareholders on liquidity shortages, crisis analyses, restructurings, going-concern projections, negotiations with creditors and lenders, as well as on out-of-court and in-court reorganization measures.
Liability, damages, and investor losses
We investigate and pursue claims arising from breaches of duty, breaches of contract, director and officer liability, embezzlement, violations of competition law, improper investment advice, and other economic damages.
Negotiation and settlement
We develop solutions when legal action is not the most cost-effective option—in a clear, controlled manner, and with an eye toward the long-term consequences.
Insolvency law as well as insolvency and restructuring administration
We advise companies and corporate bodies on their obligations under insolvency law, represent creditors and other parties in insolvency proceedings, and assist with corporate acquisitions arising from insolvency. In addition, we serve as insolvency and restructuring administrators when appointed by the court. We strictly separate our representation of clients from our role as neutral administrators.
Economic and financial criminal law
We advise and defend companies, corporate bodies, and executives in proceedings involving commercial and financial criminal law, and assist with internal investigations, interactions with regulatory authorities, and legal crisis communication.
Do you have questions? We have the answers.
When should I involve a lawyer in a business dispute?
The earlier the legal and commercial position is clarified, the greater the scope for action will usually be. We assess opportunities and risks, develop a clear strategy and consider whether an out-of-court solution is appropriate or whether claims should be pursued or defended through litigation.
What can be done in the event of a 50/50 shareholder dispute?
In a company with two equal shareholders, a dispute can quickly result in a deadlock, preventing important business decisions from being made. The options available for resolving such a dispute depend in particular on the company’s articles of association, any shareholders’ agreement in place, the management structure and the specific nature of the dispute. Possible courses of action include negotiations and out-of-court settlements, measures under corporate law, agreed buy-out or sale mechanisms and, where necessary, court proceedings. It is crucial to assess the legal position at an early stage, including the parties’ respective voting and information rights, as well as potential exit scenarios, and to develop a commercially viable strategy on that basis.
Is an out-of-court solution always better than litigation?
No. The decisive question is which strategy offers the best prospect of achieving the desired outcome. A swift settlement may make commercial sense, while other cases require determined enforcement through the courts. We therefore assess disputes from legal, commercial and strategic perspectives.
When should legal advice be sought during a corporate crisis?
As soon as liquidity shortages, payment delays, covenant breaches, significant losses, or escalating creditor claims arise. The sooner the crisis is analyzed from both a legal and economic perspective, the greater the range of available restructuring and negotiation options typically becomes. At the same time, potential obligations to file for insolvency and personal liability risks faced by corporate officers must be assessed in a timely manner.
Do you also manage insolvency and restructuring cases?
Yes. Mag. Markus Tutsch, MBA, handles court-appointed insolvency and restructuring administrations. This impartial role must be strictly separated from the partisan advising and representation of individual parties to the proceedings; a conflict check is conducted before any engagement is accepted.
